Event Calendar

Term of Agreement: The term of this Agreement is for two years, beginning March 1, 2021 and ending February 28, 2023.

Cost & Payment of Sponsorship: The cost of this sponsorship is $8,240 per year. Payment for 2021/22 is payable as follows: 25% deposit ($2,060) due upon signing of the Agreement, and Remaining 75% balance ($6,180) due on or before March 1, 2021.

Keystone Partner hereby acknowledges and accepts that sponsorship benefits are not confirmed until (i) a fully executed Agreement is received by the BOMA Greater Dallas office, and (ii) full payment is received. If the balance is not received by March 1, this Agreement becomes null and void.

Nature of Relationship/Exclusivity: Keystone Partner hereby acknowledges and accepts that marketing rights, recognition and allowances are not exclusive and that acceptance of this Agreement in no way implies BOMA Greater Dallas has endorsed the Keystone Partner or its goods or services. Keystone Partner agrees that BOMA Greater Dallas can sell additional sponsorships for events and programs that are not defined as exclusive.

Marketing Material: All sponsors must submit a current company logo to BOMA Greater Dallas upon execution of this Agreement. The logo may be submitted in a high resolution format such as a jpeg, eps or tif. The logo shall at all times remain the sole and exclusive intellectual property of the Keystone Partner and may be used by BOMA Greater Dallas in a professional manner to signify the Keystone Partner’s support of the 2021/23 sponsorship opportunities. Use of the logo shall convey no rights in the logo to BOMA Greater Dallas beyond the terms and conditions set forth herein.

Benefits: BOMA Greater Dallas agrees to provide the following benefits to Keystone Partner:

• Recognition as a Keystone Partner with signage deemed appropriate by BOMA Greater Dallas at all BOMA Greater Dallas Membership Luncheons.

• Recognition as a Keystone Partner with signage deemed appropriate by BOMA Greater Dallas at the following BOMA Greater Dallas networking events: the Dart Tournament, Bowling Tournament, Sporting Clays and Golf Tournament.

• Two entries, to be applied to a four person team, to the Dart Tournament. This benefit must be claimed by contacting the BOMA Greater Dallas office six weeks prior to the event. Failure to do so could result in loss of the benefit by Keystone Partner.

• Recognition as a “Dart board sponsor” with signage deemed appropriate by BOMA Greater Dallas at the Dart Tournament. This benefit must be claimed by contacting the BOMA Greater Dallas office six weeks prior to the event. Failure to do so could result in loss of the benefit by Keystone Partner.

• Two tickets to the TOBY & Lone Star Awards Dinner. This benefit must be claimed by contacting the BOMA Greater Dallas office six weeks prior to the event. Failure to do so could result in loss of the benefit by Keystone Partner.

• Two entries, to be applied to a four person team, to the Bowling Tournament. This benefit must be claimed by contacting the BOMA Greater Dallas office six weeks prior to the event. Failure to do so could result in loss of the benefit by Keystone Partner.

• Recognition as a “lane sponsor” with signage deemed appropriate by BOMA Greater Dallas at the Bowling Tournament. This benefit must be claimed by contacting the BOMA Greater Dallas office six weeks prior to the event. Failure to do so could result in loss of the benefit by Keystone Partner.

• Two entries, to be applied to a four person team, to Sporting Clays. This benefit must be claimed by contacting the BOMA Greater Dallas office six weeks prior to the event. Failure to do so could result in loss of the benefit by Keystone Partner.

• Recognition as a “station sponsor” with signage deemed appropriate by BOMA Greater Dallas at Sporting Clays. This benefit must

  be claimed by contacting the BOMA Greater Dallas office six weeks prior to the event. Failure to do so could result in loss of the benefit by Keystone Partner.

• One team entry (four golfers) to the Golf Tournament. This benefit must be claimed by contacting the BOMA Greater Dallas office six weeks prior to the event. Failure to do so could result in loss of the benefit by Keystone Partner.

• Recognition as a “hole sponsor” at the Golf Tournament. This benefit must be claimed by contacting the BOMA Greater Dallas office six weeks prior to the event. Failure to do so could result in loss of the benefit by Keystone Partner.

• One “spectator spot” at the following BOMA Greater Dallas networking events: the Dart Tournament, Bowling Tournament, Sporting Clays and Golf Tournament.

• Opportunity to select Trade Show exhibit space in the second round. Space selections will be made by sponsors in alphabetical order, with “A thru Z” selecting in even years and “Z thru A” selecting in odd years. If the booth selection appointment is missed, the Keystone Partner will be allowed to select a space only after all other sponsors have completed the process.

• Ten percent (10%) discount on trade show booth purchase.

• Opportunity to use the language “BOMA Greater Dallas Official Sponsor” or official sponsor logo upon approval by BOMA Greater Dallas.

• Two permanent badges, provided by BOMA Greater Dallas. Badges are the property of BOMA Greater Dallas and must be returned to BOMA Greater Dallas upon termination of the Agreement.

• Company logo or name recognition on the “Official Sponsor Thank You” included in BOMA Greater Dallas publications and on the web site in a manner deemed appropriate by BOMA Greater Dallas.

• One complimentary ticket per luncheon (up to eight per year).

• One “additional” BOMA Greater Dallas Allied Membership. Keystone Partner must purchase one primary Allied Membership at the full price to secure this benefit.

  If any event listed above is cancelled, BOMA Greater Dallas agrees to use its best efforts to provide appropriate recognition at and tickets to another BOMA Greater Dallas event deemed acceptable by BOMA Greater Dallas.

  Use of Official Sponsor Wording & Logo: Keystone Partner hereby acknowledges and accepts that the “official sponsor” wording and logo are the property of BOMA Greater Dallas and use of such term and logo must be approved by BOMA Greater Dallas in advance. Keystone Partner agrees to provide samples of such use to the BOMA Greater Dallas office via electronic mail prior to use. BOMA Greater Dallas will endeavor to review the request within 72 hours of receipt.

  Right of First Refusal: BOMA Greater Dallas agrees to give Keystone Partner right of first refusal in securing this sponsorship for the next term. Keystone Partner agrees to notify BOMA Greater Dallas on or before December 15, 2022, of its desire to secure the sponsorship for the next term.

  INDEMNIFICATION: KEYSTONE PARTNER AGREES TO INDEMNIFY AND HOLD HARMLESS BOMA GREATER DALLAS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AGENTS AND AFFILIATES FOR AND AGAINST ANY AND ALL DAMAGES, LIABILITIES, LOSSES (INCLUDING, BUT NOT LIMITED TO, COSTS ASSOCIATED WITH INTEREST CHARGES, ATTORNEYS’ FEES AND JUDGMENTS RENDERED), ACTIONS, CAUSES OF ACTION OR CLAIMS THAT MAY BE ALLEGED OR ASSERTED BY ANY PARTY ARISING OUT OF (I) KEYSTONE PARTNER’S USE OF BOMA GREATER DALLAS PRODUCTS AND/OR SERVICES, (II) KEYSTONE PARTNER’S PARTICIPATION IN ANY BOMA GREATER DALLAS PROGRAMS AND/OR EVENTS, AND (III) ANY NEGLIGENCE OF EMPLOYEES, VOLUNTEERS, OFFICERS OR AGENTS OF BOMA GREATER DALLAS RELATED TO ANY BOMA GREATER DALLAS PRODUCTS AND/OR SERVICES USED BY KEYSTONE PARTNER OR ANY BOMA GREATER DALLAS PROGRAMS AND/OR EVENTS IN WHICH KEYSTONE PARTNER PARTICIPATED.

  Severability: If any provision of this Agreement is held to be invalid, void and/or illegal, all remaining terms, provisions and conditions shall remain in full force and effect.

  Additions or changes: If the need arises, amendments may be made to any provision of this Agreement, provided that such amendment shall be set forth in writing and signed by each of Keystone Partner and BOMA Greater Dallas.

  Non-assignment: Neither this Agreement nor any rights, interests or obligations hereunder may be assigned. This Agreement is valid only for the benefit of the undersigned Keystone Partner. Keystone Partner may not extend the rights conveyed hereunder by BOMA Greater Dallas to any other person or entity, whether or not such person or entity is affiliated with the Keystone Partner. Any extension of rights by the Keystone Partner to any other person or entity shall constitute a material breach of this Agreement, whereby BOMA Greater Dallas may immediately terminate this Agreement without prior notice and whereby BOMA Greater Dallas may retain all sponsorship fees paid by Keystone Partner through the date of such termination.
